British regulators have greenlit Paramount Skydance’s massive $111 billion takeover of Warner Bros., determining the deal poses no competitive concerns or public interest risks. The Competition and Markets Authority examined various sectors including theatrical distribution, children’s programming, and streaming services before reaching its conclusion.
The approval hinged on enhanced commitments Paramount made regarding content production and editorial standards in the United Kingdom. The company pledged to maintain distinct editorial identities across its media properties, ensure Channel 5 operates as a public service broadcaster with increased investment in news and drama, and keep children’s channels like Nickelodeon and Cartoon Network focused on original British programming. Additionally, Paramount guaranteed that Channel 5 News would maintain complete editorial independence from CBS News and CNN International.
Culture Secretary Lisa Nandy determined these legally binding assurances adequately protect broadcasting diversity and news plurality across the country. A Paramount representative characterized the U.K. decision as validating the company’s position in an ongoing antitrust dispute with California’s attorney general and a coalition of other state officials challenging the merger.
